Welcome to BI Solutions (“BI Solutions,” “Beyond Impact Solutions,” “Company,” “we,” “our,” or “us”), a technology brand owned and operated by ANSGAR, Inc., an Illinois corporation with its principal place of business in Chicago, Illinois.

These Website Terms & Conditions (“Terms”) govern your access to and use of our website, products, software, artificial intelligence services, voice AI solutions, AI receptionist services, automation services, websites, chatbots, reputation management services, SEO services, digital consulting, future technology offerings, and any other services made available by BI Solutions (collectively, the “Services”).

BI Solutions offers the Services to Clients located throughout the United States. Because state and local laws governing subscriptions, telemarketing, call recording, biometric data, and consumer protection vary and continue to evolve, these Terms include provisions addressing multi-state compliance in the sections identified below. Nothing in these Terms limits any right or protection that a Client's home state grants as a matter of mandatory law.

We believe that technology should empower people, not replace them. Our mission is to help businesses reclaim their time through thoughtfully designed AI solutions so they can focus on what matters most. These Terms exist to establish clear expectations, protect both parties, and create a trusted relationship from the very beginning.

By accessing our website or using any of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you should discontinue use of our website and Services immediately.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“Client,” “User,” or “you”) and ANSGAR, Inc., doing business as BI Solutions.

Your access to or use of any portion of our website or Services constitutes your acceptance of these Terms.

If you are entering into this agreement on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not possess such authority, you may not use the Services on behalf of that organization.

2. Eligibility

You represent and warrant that you:

Are at least eighteen (18) years of age.

Have the legal authority to enter into binding contracts.

Will use our Services only for lawful business purposes.

Will comply with all applicable federal, state, local, and international laws and regulations, including those of every state in which you operate or have customers.

Will not use our Services for any unlawful, fraudulent, abusive, deceptive, or harmful activity.

We reserve the right to refuse service to any individual or organization at our sole discretion where permitted by law.

3. Definitions

For purposes of these Terms:

AI Services means any artificial intelligence-powered software, automation, chatbot, voice assistant, AI receptionist, workflow automation, machine learning model, large language model, or future AI-powered technology offered by BI Solutions.

Client Content means any information, documents, scripts, recordings, logos, trademarks, images, business information, phone numbers, schedules, frequently asked questions, appointment data, customer information, or other materials supplied by the Client.

Confidential Information means any proprietary or non-public business information disclosed by either party.

Platform means the BI Solutions website, applications, software, dashboards, APIs, integrations, and online portals.

Third-Party Provider means any technology platform, cloud provider, AI provider, payment processor, communications provider, or software vendor utilized in delivering the Services.

4. Description of Services

BI Solutions provides artificial intelligence solutions designed to help organizations improve efficiency, automate repetitive tasks, and enhance customer communication.

Our Services may include, but are not limited to:

Website Development

Future technology products and services introduced by BI Solutions

The specific Services purchased by each Client will be identified in a separate proposal, order form, statement of work, invoice, or service agreement.

5. Future Services

Technology evolves rapidly. Accordingly, BI Solutions may introduce new products, features, software, integrations, artificial intelligence capabilities, automation tools, or business services from time to time.

Unless otherwise stated in writing, these Terms shall automatically apply to all future Services made available by BI Solutions.

6. No Professional Advice

Our Services are designed to assist businesses through automation and artificial intelligence.

Nothing provided through our website or Services constitutes legal advice, accounting advice, tax advice, investment advice, medical advice, mental health advice, emergency services, or any other regulated professional service.

Clients should consult qualified professionals before making decisions involving legal, financial, medical, or regulatory matters.

7. No Protected Health Information (PHI)

The Services are not designed, certified, or intended to create, receive, maintain, or transmit Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act (HIPAA) or comparable state health privacy laws, unless BI Solutions and Client have executed a separate Business Associate Agreement (“BAA”).

Client agrees not to submit, input, or transmit PHI through the Services absent an executed BAA. This applies regardless of the state in which Client or its patients or customers are located.

BI Solutions assumes no liability for Client's transmission of PHI through the Services in violation of this Section.

8. AI Services

Our Services utilize artificial intelligence technologies provided by BI Solutions and trusted third-party technology providers.

Artificial intelligence is designed to assist—not replace—human judgment.

While we continuously improve our systems, AI-generated responses, recommendations, summaries, transcriptions, and other outputs may occasionally:

Contain inaccuracies

Omit information

Misinterpret context

Generate incomplete responses

Produce unexpected results

Accordingly, Clients remain solely responsible for reviewing AI-generated outputs before relying upon them for business, legal, financial, operational, or customer-facing decisions. BI Solutions does not guarantee that AI-generated content will be error-free, uninterrupted, or suitable for every circumstance.

9. Client Responsibilities

Clients agree to:

Provide accurate and complete business information.

Maintain current contact information.

Review AI-generated content for accuracy.

Promptly notify BI Solutions of any inaccuracies in scripts, workflows, or business information.

Ensure that all information supplied to BI Solutions is lawful and does not infringe upon the rights of others.

Comply with all applicable laws governing their industry and every state or jurisdiction in which Client operates or has customers, including the telemarketing, call-recording, biometric privacy, and consumer protection laws referenced in Sections 22, 34, 35, and 36 of these Terms.

Clients acknowledge that AI performance depends substantially upon the quality, completeness, and accuracy of the information supplied.

BI Solutions shall not be responsible for errors resulting from outdated, incomplete, or inaccurate Client Content.

10. Client Content

Clients retain ownership of all intellectual property rights in the content they provide.

By submitting Client Content to BI Solutions, the Client grants BI Solutions a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, store, process, modify, and display such content solely for the purpose of providing the Services.

Clients represent and warrant that they possess all necessary rights and permissions to provide such content.

Clients further agree that BI Solutions is not responsible for verifying the legality or accuracy of Client Content.

11. Prohibited Uses

Clients agree not to use our Services to:

Violate any law or regulation.

Engage in fraudulent conduct.

Harass or threaten others.

Impersonate another individual or organization.

Distribute malware or harmful code.

Generate unlawful content.

Conduct spam campaigns.

Facilitate scams or deceptive business practices.

Infringe upon copyrights, trademarks, or other intellectual property rights.

Interfere with or disrupt the operation of our Services.

BI Solutions reserves the right to suspend or terminate Services immediately if prohibited activity is suspected.

12. Client Accounts

Certain Services may require you to create an account or access a secure client portal.

You agree to provide complete, current, and accurate information when creating or maintaining your account.

You are solely responsible for:

Maintaining the confidentiality of your login credentials.

Restricting access to your account.

All activities conducted through your account.

Promptly notifying BI Solutions of any unauthorized access or suspected security breach.

BI Solutions shall not be liable for any loss resulting from unauthorized use of your account due to your failure to safeguard your credentials.

13. Quotes, Proposals & Statements of Work

From time to time, BI Solutions may provide proposals, estimates, Statements of Work (“SOWs”), onboarding documents, implementation plans, or project scopes.

Unless otherwise stated in writing:

Quotes are valid for thirty (30) calendar days.

Pricing may change after the expiration of a quote.

Any signed proposal, accepted estimate, invoice, onboarding document, or SOW becomes part of these Terms by reference. If there is a conflict between these Terms and an executed SOW, the SOW controls only with respect to the specific Services described therein.

14. Fees & Payment Terms

Client agrees to pay all applicable fees associated with the purchased Services.

Fees may include, without limitation:

One-time implementation fees.

Setup fees.

Monthly subscription fees.

Annual subscription fees.

Professional consulting fees.

Usage-based charges.

Third-party service fees where applicable.

Unless otherwise agreed in writing, all fees are stated in U.S. Dollars.

Invoices are due according to the payment schedule identified on the applicable invoice or subscription agreement. Failure to pay may result in suspension or termination of Services.

15. Payment Processing

BI Solutions utilizes Stripe and other trusted payment processors to securely process payments.

By submitting payment information, you authorize BI Solutions and its payment processor to charge the payment method provided for:

Subscription renewals.

One-time purchases.

Setup fees.

Additional approved Services.

Applicable taxes and fees.

BI Solutions does not store complete payment card information on its own servers. All payment processing is subject to the terms, conditions, and security standards of the applicable payment processor.

16. Subscription Services

Certain Services are offered on a recurring subscription basis.

Subscriptions may be billed:

Monthly

Annually

Or according to another billing cycle agreed upon in writing.

Unless expressly stated otherwise, subscriptions automatically renew at the end of each billing period.

Renewal occurs using the payment method on file unless cancelled in accordance with these Terms.

Client is responsible for maintaining current billing information.

17. Automatic Renewal Authorization

By enrolling in any recurring subscription, Client authorizes BI Solutions to automatically charge the designated payment method at the beginning of each renewal period until cancelled.

Renewal pricing shall be based upon the then-current pricing unless otherwise agreed in writing.

BI Solutions may provide advance notice of material pricing changes before renewal where required by applicable law.

Because BI Solutions serves Clients nationwide, and several states (including California, Colorado, New York, and others identified in Section 22) require advance renewal reminder notices for certain subscription terms, BI Solutions will provide those reminders where applicable law requires them, in addition to any notice described in this Section.

18. Setup Fees

Implementation, onboarding, configuration, customization, AI training, workflow creation, prompt engineering, scripting, integrations, and other initial deployment work may require a non-refundable setup fee.

Setup fees compensate BI Solutions for professional services already rendered and resources allocated to preparing Client systems.

Except as otherwise provided in the Refund Policy, setup fees become earned once work has commenced.

19. Third-Party Costs

Certain Services depend upon third-party software, communication platforms, telephone carriers, cloud infrastructure, artificial intelligence providers, APIs, integrations, or external applications.

Unless otherwise stated in writing, Client remains responsible for any fees charged directly by third-party providers, including but not limited to:

Telephone numbers

SMS messaging

Email services

Domain registrations

Hosting services

AI usage fees

CRM licensing

Additional platform subscriptions

BI Solutions shall not be responsible for pricing changes implemented by third-party providers.

20. Taxes

Client is responsible for all applicable federal, state, local, sales, use, value-added, telecommunications, or similar taxes associated with the Services, excluding taxes based solely upon BI Solutions' net income.

Where required by law, BI Solutions may collect and remit applicable taxes.

21. Failed Payments

If any payment is declined, returned, reversed, disputed, or otherwise unsuccessful, BI Solutions may:

Retry the payment method.

Request updated billing information.

Suspend Services.

Restrict account access.

Delay implementation.

Charge applicable late fees where permitted by law.

Recover reasonable collection costs.

Client agrees to promptly update expired or invalid payment methods.

22. Cancellation Policy

Clients may cancel recurring Services by providing at least thirty (30) days' written notice to [email protected], or, where Client enrolled in the Services entirely online, through any self-service cancellation option BI Solutions makes available within Client's account portal or dashboard.

BI Solutions offers the Services to Clients located throughout the United States. A number of states, including California, Colorado, New York, Massachusetts, and others, impose specific requirements on automatic renewal and cancellation, such as clear pre-purchase disclosure, advance renewal reminder notices, and a cancellation method that is no more difficult than the sign-up method. To the extent a Client's state of residence or principal place of business imposes such requirements, BI Solutions will provide the applicable renewal reminders and a comparably simple cancellation method for that Client, and this Section shall be read to incorporate those additional protections rather than limit them.

Cancellation requests become effective upon written confirmation from BI Solutions, or, where self-service cancellation is used, upon completion of that process.

Cancellation does not relieve Client of responsibility for:

Outstanding invoices.

Fees incurred before the effective cancellation date.

Third-party charges already committed on Client's behalf.

Any non-refundable setup or implementation fees already earned under these Terms.

Services will remain active through the applicable notice period unless otherwise agreed in writing.

23. Refund Policy

Customer satisfaction is important to BI Solutions.

Clients may submit written refund requests within seven (7) business days of the applicable purchase by contacting [email protected].

Refund requests are evaluated individually based upon factors including:

Whether Services have begun.

The amount of work completed.

Setup or implementation already performed.

Third-party costs already incurred.

Usage of the Services.

Contractual obligations already fulfilled.

Refunds are not guaranteed. Approved refunds shall be issued to the original payment method whenever reasonably practicable.

24. Suspension of Services

BI Solutions reserves the right to suspend Services immediately if:

Payment becomes delinquent.

Client violates these Terms.

Fraudulent activity is suspected.

Continued service would create legal or security risks.

Required third-party services become unavailable.

Client engages in abusive, threatening, or unlawful conduct toward BI Solutions personnel.

During suspension, Client remains responsible for all accrued fees unless otherwise prohibited by law.

25. Termination

BI Solutions may terminate this agreement immediately upon written notice if Client:

Materially breaches these Terms.

Uses the Services unlawfully.

Misrepresents material information.

Attempts to compromise system security.

Repeatedly violates acceptable use standards.

Upon termination:

Access to Services may cease immediately.

Client remains responsible for outstanding financial obligations.

Certain provisions of these Terms shall survive termination, including those relating to payment obligations, confidentiality, intellectual property, limitations of liability, indemnification, and dispute resolution.

26. Effect of Termination

Following termination or expiration of Services:

Client access to hosted systems may be discontinued.

BI Solutions may delete Client information following applicable retention periods.

Client should export any desired data before termination where applicable.

BI Solutions is not responsible for losses resulting from Client's failure to retrieve information before account closure.

27. Intellectual Property Rights

Unless expressly stated otherwise in a separate written agreement, all intellectual property rights associated with the Services remain the exclusive property of BI Solutions and its licensors.

This includes, but is not limited to:

Proprietary software

Artificial intelligence workflows

Prompt libraries

Voice agent configurations

Automation frameworks

Integration methodologies

APIs

Dashboards

Documentation

Training materials

Website content

Branding

Graphics

Logos

Videos

Written materials

Source code

Business processes

Know-how

Trade secrets

Future improvements and enhancements

Nothing in these Terms transfers ownership of BI Solutions' intellectual property to the Client.

Clients receive only the limited rights necessary to access and use the Services during the applicable service term.

28. Client Ownership of Business Content

The Client retains ownership of all intellectual property rights in the materials they provide to BI Solutions, including:

Business information

Logos

Branding

Marketing materials

Phone numbers

FAQs

Appointment rules

Customer data

Documents

Images

Scripts

Business procedures

Knowledge base content

Other proprietary information supplied by the Client

BI Solutions does not claim ownership of Client Content.

The Client grants BI Solutions a limited, revocable, non-exclusive license to use Client Content solely for the purpose of providing the Services.

29. Ownership of AI Configurations

Unless otherwise agreed in writing, BI Solutions retains ownership of its proprietary methods, systems, and configurations used to deliver AI-powered Services.

This includes, without limitation:

AI prompting techniques

Prompt engineering

Workflow architecture

Automation logic

Decision trees

Routing logic

AI conversation design

Proprietary implementation methods

Internal templates

Optimization methodologies

However, the Client retains ownership of the business-specific information incorporated into those configurations.

This distinction allows BI Solutions to continue improving its platform while protecting each Client's confidential business information.

30. Client Responsibility for AI Configuration

The effectiveness of AI Services depends on the accuracy and completeness of the information provided by the Client.

The Client is solely responsible for reviewing and approving:

Business hours

Holiday schedules

Pricing

Appointment availability

Frequently asked questions

Escalation procedures

Call routing instructions

Scripts

Product information

Service offerings

Contact information

Policies

Other business information used by the AI

BI Solutions is not responsible for losses arising from inaccurate, incomplete, outdated, or misleading information supplied by the Client.

31. AI-Generated Content

The Client acknowledges that artificial intelligence generates content probabilistically rather than deterministically.

As a result, AI-generated outputs may occasionally:

Contain factual inaccuracies

Misunderstand context

Produce incomplete responses

Omit relevant information

Misinterpret customer intent

Generate unexpected results

AI-generated content should always be reviewed by the Client before being relied upon for significant business, legal, financial, medical, regulatory, or operational decisions.

BI Solutions does not warrant the accuracy, completeness, or suitability of AI-generated content for every circumstance.

32. Human Oversight

Artificial intelligence is intended to assist human decision-making, not replace it.

Clients remain solely responsible for:

Business decisions

Customer communications

Operational decisions

Legal compliance

Regulatory compliance

Employment decisions

Financial decisions

Medical or healthcare decisions

Customer service outcomes

The Client agrees that appropriate human oversight should be maintained whenever AI-generated information could materially affect customers, employees, vendors, or business operations.

33. Call Recording, Transcription & AI Summaries

Certain Services may include:

Call recording

Voice transcription

AI-generated summaries

AI-generated action items

Conversation analytics

Quality assurance reporting

Where available, Clients may elect to opt out of certain AI processing features. Clients acknowledge that disabling certain AI features may reduce the functionality or effectiveness of the Services.

BI Solutions will process communications solely for the purpose of providing, maintaining, improving, securing, and supporting the Services, subject to the Privacy Policy.

34. Consent to Record Communications

Certain jurisdictions require the consent of one or all participants before recording telephone conversations. Because BI Solutions' AI receptionist, voice AI, and call recording features may be used to communicate with individuals located in any U.S. state, Client acknowledges that a number of states (currently including California, Connecticut, Delaware, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, and Washington, among others that may change from time to time) require the consent of all parties to a call before it may be recorded.

The Client is solely responsible for identifying the states in which its callers or customers are located and for ensuring compliance with all applicable call recording, wiretap, telecommunications, privacy, and consumer protection laws governing its business in each such state, regardless of where the Client itself is located or headquartered.

Where required by law, the Client agrees to provide any necessary notices, such as a recorded disclosure at the start of a call, or obtain any required consents from callers before recording or processing communications.

BI Solutions does not provide legal advice regarding recording requirements in any state and assumes no responsibility for the Client's compliance with applicable laws.

35. Biometric Data and Voiceprints

Certain AI Services process or analyze a caller's or user's voice, which in some jurisdictions may constitute a “voiceprint” or other biometric identifier subject to specialized biometric privacy laws. These laws currently include, without limitation, the Illinois Biometric Information Privacy Act (BIPA), the Texas Capture or Use of Biometric Identifier Act (CUBI), and Washington State's biometric privacy statute, and additional states may adopt comparable laws in the future.

Where Client's use of the Services involves the collection, storage, or use of voiceprints or other biometric identifiers of Client's customers, employees, or other individuals, Client is solely responsible for:

Providing any legally required notice of collection.

Obtaining any legally required written consent before collection.

Maintaining a publicly available retention and destruction schedule where required by law.

Otherwise complying with all applicable biometric privacy laws in the states where those individuals are located.

BI Solutions does not independently verify Client's compliance with biometric privacy laws and disclaims liability for Client's failure to obtain required notices or consents. Clients operating in, or serving customers in, Illinois, Texas, or Washington are strongly encouraged to consult qualified legal counsel regarding biometric data obligations before deploying voice AI Services.

36. Telemarketing, SMS & Automated Calling Compliance

Certain Services, including AI Call Answering, AI Call Routing, Workflow Automation, CRM Automation, and Marketing Automation, may be used to place calls or send text messages to Client's customers or prospects. Client acknowledges that such activity may be subject to the federal Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state mini-TCPA and telemarketing statutes, state do-not-call registries, and telecommunications carrier requirements such as 10DLC registration for SMS messaging.

Client is solely responsible for:

Obtaining any consent required before using the Services to call or text an individual.

Honoring opt-out and do-not-call requests.

Completing any registrations required by telecommunications carriers or regulators.

Complying with all applicable telemarketing and communications laws in every state where its customers or prospects are located.

BI Solutions does not verify the source or validity of contact lists or consent records provided by Client and assumes no liability for Client's non-compliance with this Section.

37. Third-Party Technology Providers

To deliver the Services, BI Solutions may utilize trusted third-party providers, including providers of:

Artificial intelligence

Cloud infrastructure

Telecommunications

Payment processing

Analytics

CRM platforms

Automation tools

Hosting services

Communication platforms

Security services

These providers may include, without limitation:

OpenAI

Anthropic (Claude)

Replit

HighLevel

Stripe

And other reputable technology providers selected by BI Solutions from time to time.

Third-party providers maintain their own terms of service and privacy policies, which may apply to aspects of the Services.

BI Solutions is not responsible for outages, policy changes, pricing changes, feature modifications, or service interruptions caused by third-party providers.

38. Service Availability

BI Solutions strives to provide reliable and uninterrupted Services.

However, because the Services depend upon internet connectivity, telecommunications networks, cloud infrastructure, artificial intelligence providers, and third-party platforms, uninterrupted availability cannot be guaranteed.

Maintenance, software updates, infrastructure upgrades, security incidents, internet outages, or third-party disruptions may temporarily affect the availability of the Services.

BI Solutions shall not be liable for temporary interruptions that are outside of its reasonable control.

39. Beta Features & Future Technologies

From time to time, BI Solutions may make available beta features, experimental capabilities, early-access products, or future technologies.

These features are provided on an “as available” basis and may:

Change without notice

Be modified

Be discontinued

Contain bugs

Produce inaccurate outputs

Operate differently than anticipated

Clients choosing to use beta features do so voluntarily and acknowledge the inherent risks associated with developing technologies.

40. Acceptable Use of AI Services

Clients agree not to use the Services to:

Violate applicable laws

Mislead consumers

Engage in fraud

Generate unlawful content

Harass individuals

Impersonate others without authorization

Circumvent security measures

Create malicious software

Engage in unlawful surveillance

Distribute spam

Infringe intellectual property rights

Interfere with the operation of the Services

BI Solutions reserves the right to suspend or terminate Services if it reasonably believes the Services are being used in violation of these Terms or applicable law.

41. Confidentiality

Each party agrees to protect the Confidential Information of the other party using at least the same degree of care it uses to protect its own confidential information, and no less than a reasonable standard of care.

Confidential Information may be used only as necessary to perform obligations under these Terms.

The confidentiality obligations do not apply to information that:

Is or becomes publicly available through no fault of the receiving party.

Was lawfully known prior to disclosure.

Is independently developed without reference to the disclosed information.

Must be disclosed pursuant to law, court order, or governmental authority.

These confidentiality obligations survive the termination of the relationship.

42. Disclaimer of Warranties

BI Solutions is committed to providing reliable, innovative, and high-quality AI-powered services. However, all Services, software, content, and features are provided on an “AS IS” and “AS AVAILABLE” basis, unless otherwise expressly agreed in writing.

To the fullest extent permitted by applicable law, BI Solutions disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation:

Implied warranties of merchantability.

Fitness for a particular purpose.

Non-infringement.

Accuracy or completeness of information.

Uninterrupted availability.

Error-free operation.

Compatibility with third-party systems.

Results achieved through the use of the Services.

BI Solutions does not warrant that:

The Services will always be available.

The Services will meet every Client expectation.

AI-generated responses will always be accurate or complete.

Errors will always be corrected immediately.

Third-party services will remain continuously available.

The Client acknowledges that artificial intelligence and cloud-based technologies involve inherent limitations and evolving capabilities.

43. No Guarantee of Business Results

While BI Solutions is dedicated to helping businesses improve efficiency through artificial intelligence and automation, we do not guarantee any specific business outcome.

This includes, without limitation:

Increased revenue.

Increased profits.

Lead generation.

Appointment bookings.

Customer satisfaction.

Operational savings.

Employee productivity.

Search engine rankings.

Marketing performance.

Business growth.

Actual results depend on numerous factors outside the control of BI Solutions, including the Client's business operations, industry, staffing, customer interactions, market conditions, and implementation of the Services.

44. Limitation of Liability

To the fullest extent permitted by law, BI Solutions, ANSGAR, Inc., its officers, directors, employees, contractors, affiliates, licensors, suppliers, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of the Services.

This includes, without limitation:

Loss of profits.

Loss of revenue.

Loss of business opportunities.

Loss of goodwill.

Loss of data.

Business interruption.

Loss of customers.

Reputational harm.

Technology failures.

Regardless of the legal theory asserted, BI Solutions' total cumulative liability shall not exceed the total amount actually paid by the Client to BI Solutions for the Services during the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability shall be limited to the maximum extent permitted by applicable law.

45. Client Indemnification

The Client agrees to defend, indemnify, and hold harmless BI Solutions, ANSGAR, Inc., and their respective officers, directors, employees, contractors, affiliates, successors, and assigns from and against any claims, demands, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from or relating to:

The Client's violation of these Terms.

The Client's misuse of the Services.

Inaccurate or unlawful Client Content.

Violation of applicable laws or regulations, including the telemarketing, call-recording, and biometric privacy laws referenced in Sections 34, 35, and 36.

Infringement of intellectual property rights

Negligence or intentional misconduct by the Client.

Disputes between the Client and its customers.

Unauthorized use of the Services by the Client or persons acting under the Client's account. This obligation survives termination of these Terms.

46. Force Majeure

BI Solutions shall not be liable for any delay, interruption, or failure to perform resulting from circumstances beyond its reasonable control.

Such circumstances include, but are not limited to:

Natural disasters.

Fire.

Flood.

Earthquake.

Pandemic.

Public health emergency.

War.

Terrorism.

Civil unrest.

Labor disputes.

Government action.

Utility failures.

Internet outages.

Telecommunications failures.

Cybersecurity incidents.

Cloud infrastructure outages.

Third-party service interruptions.

Performance shall resume as soon as reasonably practicable following the resolution of the affected event.

47. Security

BI Solutions implements commercially reasonable administrative, technical, and organizational safeguards designed to protect information processed through the Services.

While we continually work to maintain secure systems, no method of internet transmission or electronic storage can be guaranteed to be completely secure.

Accordingly, BI Solutions cannot guarantee absolute security and disclaims liability for unauthorized access resulting from circumstances beyond our reasonable control.

Clients are responsible for maintaining the security of their own systems, devices, passwords, and business networks.

48. Third-Party Websites and Services

Our website and Services may contain links to or integrate with third-party websites, applications, or platforms.

These third-party services operate independently from BI Solutions.

We are not responsible for:

The availability of third-party services.

Third-party privacy practices.

Third-party terms of use.

Third-party content.

Products or services provided by third parties.

Clients access third-party services at their own risk and should review the applicable terms and privacy policies of those providers.

49. Electronic Communications

By using our Services, submitting forms, or communicating with BI Solutions electronically, you consent to receive communications from us electronically.

Such communications may include:

Account notifications.

Service updates.

Billing notices.

Security notifications.

Legal notices.

Customer support communications.

Product announcements.

Electronic communications satisfy any legal requirement that such communications be in writing unless otherwise prohibited by law.

52. Governing Law; Venue

These Terms and any dispute arising out of or relating to the Services or your use of the Website shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. The parties agree that any action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and each party consents to the personal jurisdiction of such courts.

Because BI Solutions provides Services to Clients located throughout the United States, this governing law and venue selection does not limit or waive any consumer protection, biometric privacy, telemarketing, or auto-renewal disclosure requirement that applies as a matter of mandatory law in the Client's home state and cannot be waived by contract. Where a mandatory state law requirement conflicts with a provision of these Terms, the mandatory state law requirement shall control solely to the extent required, and all other provisions of these Terms shall remain in full effect.

53. Dispute Resolution

At BI Solutions, we believe that most disagreements can be resolved through open and respectful communication.

If a dispute arises relating to these Terms or the Services, both parties agree to first make a good-faith effort to resolve the matter through informal discussions.

If the dispute cannot be resolved informally, either party may pursue any legal remedies available under applicable law.

Nothing in these Terms prevents either party from seeking immediate equitable or injunctive relief where necessary to protect confidential information, intellectual property, or other legal rights.

54. Compliance with Applicable Laws

Each party agrees to comply with all applicable federal, state, and local laws, regulations, and governmental requirements relating to its performance under these Terms.

Because BI Solutions offers the Services to Clients in all fifty states, the Client remains solely responsible for identifying and complying with the laws applicable to its own business and to each state in which its customers, employees, or callers are located, including without limitation professional licensing requirements, telemarketing and call-recording laws, biometric privacy laws, and consumer protection and auto-renewal laws, several of which are addressed in more detail in Sections 22, 34, 35, and 36 of these Terms.

55. Modifications to These Terms

Technology evolves quickly, and our Services may continue to grow over time.

Accordingly, BI Solutions reserves the right to update or modify these Terms from time to time.

When material changes are made, we will update the “Effective Date” at the beginning of these Terms and post the revised version on our Website.

Continued use of the Website or Services following the effective date of updated Terms constitutes acceptance of the revised Terms.

If you do not agree with any changes, you should discontinue use of the Services before the updated Terms become effective.

56. Entire Agreement

These Terms, together with our Privacy Policy, AI Services Disclaimer, Cancellation & Refund Policy, and any applicable proposal, invoice, Statement of Work, or written agreement between the parties, constitute the entire agreement between the Client and BI Solutions regarding the Services.

These documents supersede all prior or contemporaneous discussions, proposals, negotiations, understandings, and agreements relating to the same subject matter.

57. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be interpreted to the fullest extent permitted by applicable law.

The remaining provisions shall continue in full force and effect.

58. No Waiver

Failure by BI Solutions to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available under these Terms.

Any waiver must be in writing and signed by an authorized representative of BI Solutions.

59. Assignment

The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of BI Solutions.

BI Solutions may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, sale of assets, or other business transaction.

These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Any provisions of these Terms that by their nature should survive termination or expiration shall remain in effect, including, without limitation:
